ELIGIBILITY: MLS Works Right to Play Sweepstakes (the "Sweepstakes") is open to legal residents of the United States (except Rhode Island, Puerto Rico, Guam, U.S. Virgin Islands, and all other U.S. and foreign territories and possessions, and excluding where otherwise prohibited by law, rule or regulation) and Canada (excluding Quebec), who are of legal age of majority in the jurisdiction in which they reside (and at least 18 years) at the time of entry. Employees, officers, and directors (including immediate family members (spouse, parent, child and sibling and their respective spouses, regardless of they reside) and members of the same household, whether or not related) of Major League Soccer, LLC ("the Sponsor"), Soccer United Marketing, LLC("SUM", and together with Sponsor, the "MLS Entities"), the SOE Entities (defined below) and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers and advertising and promotion agencies, and any and all other companies associated with the Sweepstakes are not eligible to participate. Online entrants to the Sweepstakes will be given the option to receive commercial e-mails from www.mlsnet.com/works; however, eligibility to participate in the Sweepstakes is not dependent upon entrant's consent to receive such e-mails. The Sweepstakes is subject to all applicable federal, provincial, state, local laws and regulations. Void in Rhode Island, Puerto Rico, Guam, U.S. Virgin Islands, and all other U.S. and foreign territories and possessions, in Quebec and where prohibited or restricted by law.

HOW TO ENTER: The Sweepstakes begins at 3:00 p.m. Eastern Time ("ET") on July 17, 2008 and ends at 3:00 p.m. ET on October 24, 2008 ("Entry Period"). There are two ways to enter: online or by mail. No other method of entry will be accepted. Limit one entry per person/email address/household, regardless of method of entry.

1. Online Method: During the Entry Period, go to www.mlsnet.com/works and click on the banners, buttons and/or links to launch the pop-up online entry form for the Sweepstakes. By submitting your completed online entry form as directed, you will be automatically entered in the Sweepstakes. All information submitted by entrants is subject to MLSnet.com's Privacy Policy accessible at: http://www.mlsnet.com/MLS/about/privacy.jsp. Entrants must complete all non-optional data requested on the online entry form. Incomplete entries are void.

2. Mail-in Method: If you do not wish to enter online, you may enter the Sweepstakes by hand-printing your name, address, city, state and zip code, day & evening telephone number (including area code), date of birth and e-mail address (optional) on a standard size postcard and mail to: Attn: Jan Greenberg, MLS Works Right to Play Sweepstakes, Major League Soccer, 420 Fifth Avenue, 7th Floor, New York, New York 10018. Sponsor will only use e-mail addresses provided via the Mail-in entry method for prize notification purposes only; however, eligibility to participate in the Sweepstakes is not dependent upon entrant's provision of this information. Mail-in entries must be postmarked by October 24, 2008 and received by Sponsor by October 31, 2008. Mail-in entries become the property of the Sponsor and will not be returned.

RANDOM DRAWING: The potential winner of the Sweepstakes (the "Winner") will be selected by random drawing on or about November 1, 2008 from all eligible entries received by the Sponsor or SOE, as applicable. The decisions of Sponsor, including the selection of Winners, are final and binding on all matters relating to this Sweepstakes. Odds of winning depend on the total number of eligible entries received. Limit one Prize per person, family or household.

PRIZES: One (1) Grand Prize Will Be Awarded. Winner will receive a prize package including (I) round-trip coach airfare for two (2) to the Los Angeles, CA metropolitan area (as determined by Sponsor), (ii) one (1) room for hotel accommodation (standard double occupancy) for two (2) nights (as determined by Sponsor), (iii) two (2) tickets to the MLS CUP 2008 (as determined by Sponsor) and (iv) MLS CUP autographed ball or jersey (to be determined by Sponsor) (the "Prize"). (Estimated Retail Value of Prize: US $ 4,000 (USD)). The Winner is fully responsible for any and all applicable federal, state, and local taxes (including income and withholding taxes). All costs and expenses associated with Prize acceptance and use not specified herein as being provided, including but not limited to lodging, transportation costs, meals, taxes (including income taxes) and gratuities and other expenses incurred by accepting the Prize are the sole responsibility of the Winner. Winner's companions must be of legal age of majority in their jurisdictions of residence, unless traveling with a parent or guardian.

The Prize is non-transferable and non-assignable, with no cash redemptions or substitutions except at Sponsor's sole discretion. The Sponsor, the other MLS Entities and the SOE Entities will not be responsible for Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the cancellation of MLS games. There will be no substitutions for the Prize except by Sponsor who reserves the right to substitute a prize of comparable or greater value at its sole discretion.

NOTIFICATION: The potential Winner will be notified by e-mail and/or telephone by the Sponsor and/or SOE. In the event that the Winner does not respond to any such notification within three (3) days of date of notification, a disqualification will result and, at Sponsor's discretion, an alternate Winner shall be chosen from among all remaining eligible entries. If potential Winner is a resident of Canada, he/she will be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question to be administered by telephone. If he/she answers the skill-testing question incorrectly, as determined by Sponsor in its sole discretion, he/she will be disqualified and, at Sponsor's discretion, an alternate Winner shall be chosen from among all remaining eligible entries. The potential Winner will be required to execute and return an Affidavit of Eligibility (or, if a resident of Canada, a Declaration of Eligibility) and Release of Liability and, unless prohibited by law, Publicity, within ten (10) days of date of receipt. A disqualification will result and, at Sponsor's discretion, an alternative Winner will be randomly selected from among all remaining eligible entries if all required documents are not properly executed and returned within the specified period of time. Refusal or return of such documents as non-deliverable or potential Winner's noncompliance with these Official Rules will also result in disqualification and, at Sponsor's discretion, cause an alternative Winner to be chosen from among all remaining eligible entries.

WAIVER OF LIABILITY/PUBLICITY RELEASE: By participating in the Sweepstakes and submitting an entry, all entrants agree to (i) be bound by these Official Rules, including all entry requirements and (ii) waive any and all claims against the Sponsor, the other MLS Entities, the SOE Entities and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers and advertising and promotion agencies, and any and all other companies associated with the Sweepstakes, and all of their respective officers, directors, employees, agents and representatives (collectively, "Released Parties") for any injury, damage or loss that may occur, directly or indirectly, in whole or in part, from the participation in the Sweepstakes or from the receipt or use of any Prize or any travel or activity related to the receipt or use of any Prize. By acceptance of Prize, each Winner grants to Sponsor, the other MLS Entities and the SOE Entities and their respective designees the right to publicize such Winner's name, city and state/province of residence and/or likeness in any medium now or hereafter devised worldwide without limitation and without additional compensation or consideration, notification or permission, unless prohibited by law.

GENERAL CONDITIONS: Released Parties are not responsible for stolen, late, misdirected, lost, damaged, garbled, delayed, incomplete, inaccurate, postage due or illegible entries or mail. Entries generated by a script, macro or other mechanical or automated means will be disqualified. Released Parties are not responsible for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the Prizes or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the website.

Persons who tamper with or abuse any aspect of the Sweepstakes or website or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Any attempt to deliberately damage the content or operation of this Sweepstakes is unlawful and subject to legal action by the Sponsor, the other MLS Entities, the SOE Entities or their respective agents. Sponsor, the other MLS Entities and the SOE Entities shall have the sole right to disqualify any entrant for violation of these Official Rules or any applicable laws relating to the Sweepstakes, and to resolve all disputes in their sole discretion. Sponsor, the other MLS Entities and the SOE Entities (i) make no warranty, guaranty or representation of any kind concerning any Prize, and (ii) disclaim any implied warranty. All disputes will be resolved under applicable U.S. laws in the County of New York, state of New York.

The Sponsor, the other MLS Entities and the SOE Entities reserve the right, in their sole discretion, to cancel or suspend the Sweepstakes should virus, bugs, unauthorized human intervention, or other causes corrupt administration, security, fairness, integrity or proper operation of the Sweepstakes. In the event of cancellation, Sponsor may elect to identify Winners and award the Prizes by way of random drawing from among all non-suspect, eligible entries received up to time of such cancellations.

All online entries must include a valid e-mail address for the entrant. In case of multiple entries, only the first entry received will be considered. In the event of a dispute as to the identity or eligibility of a Winner based on an e-mail address, the winning entry will be declared made by the "Authorized Account Holder" of the e-mail address submitted at the time of the entry provided her/she is eligible according to these Official Rules. The "Authorized Account Holder" is the person to whom the applicable Internet service provider or other organization (such as business or educational institution) has assigned the e-mail addresses for the domain associated with the submitted e-mail address.

The "SOE Entities" shall mean SportsOnEarth, L.L.C. ("SOE") and MLB Advanced Media, L.P. and each of their subsidiaries and affiliated entities.

WINNERS' LIST: For a list of Winners (available after November 1, 2008), mail a self-addressed stamped envelope to: Attn: Jan Greenberg, MLS Works Right to Play Sweepstakes, Major League Soccer, 420 Fifth Avenue, 7th Floor, New York, New York 10018. Winner's list requests must be made by December 31, 2008.
